These Terms of Service form a binding agreement between you and Leidi & Co., LLC, and they govern your use of https://leidiandco.com/ and any purchase you make from us. We have written them to be as clear and readable as a legal document can reasonably be, because we would rather you actually understood them than skimmed past them.

By accessing our website, creating an account, or placing an order, you confirm that you have read, understood, and agreed to these Terms. If you do not agree with them, please do not use our website.

In these Terms, “Leidi & Co.”, “we”, “us,” and “our” mean Leidi & Co., LLC. “You” and “your” mean the person using our website or placing an order.

2. Definitions

Website means https://leidiandco.com/ and all associated pages and content.
Products mean the pet apparel and accessories offered for sale on our Website.
An order means a request submitted by you through our checkout to purchase Products.
Business day means Monday through Friday, excluding public holidays observed in the United States.
Policies mean our Shipping Policy, Return & Refund Policy, Privacy Policy and Billing Policy, each of which forms part of these Terms.

3. Eligibility

To place an order with Leidi & Co., you must be 18 years of age, or the age of majority in your jurisdiction.

Where a minor wishes to purchase from us, this must be done with the involvement, permission, and supervision of a parent or legal guardian, who assumes full responsibility for the order and for compliance with these Terms.

By placing an order, you confirm that you meet these requirements, that you have the legal capacity to enter into this agreement, and that all information you provide is accurate, current, and complete.

4. Your Account

You may create an account to make checkout faster and to keep track of your orders. Creating an account is optional, and you are always welcome to check out as a guest.

If you do create an account:

You are responsible for keeping your login credentials confidential.
You are responsible for all activity that takes place under your account.
You agree to provide accurate information and to keep it up to date.
You agree to notify us immediately if you believe your account has been accessed without your permission.

We reserve the right to suspend or terminate any account we reasonably believe has been used in breach of these Terms, has been compromised, or has been created using false information.

5. Products and Product Descriptions

We work hard to describe and photograph our products accurately, and every description on our Website reflects the actual item you will receive. That said, there are a few things worth knowing.

Product Colors May Vary Slightly: due to screen settings, monitor calibration, and photography lighting. We photograph our products as faithfully as we can, and minor color variation is normal rather than a defect.
Sizing is Your Responsibility: You are responsible for selecting the appropriate size for your dog using the size guide provided on our Website. If you are unsure, please contact our Customer Care team before ordering with your dog’s measurements, and we will happily recommend a size.
Our Products are Apparel and Accessories: They are not medical, therapeutic, or behavioral devices. We make no medical, therapeutic, behavioral, or health claims about them, and no statement on our Website should be understood as one.
Care Instructions Must Be Followed: Leidi & Co. is not responsible for damage resulting from improper use, misuse, or failure to follow the care instructions supplied with the product.
Supervision: Pet apparel should be fitted correctly, and your pet should be supervised while wearing it. Please remove any item that appears to cause discomfort or restriction.

6. Pricing, Currency and Transparency

All prices are listed in United States Dollars (USD).
Prices displayed do not include sales tax. Applicable sales tax is calculated and displayed at checkout based on your delivery address.
Shipping charges are calculated at checkout and shown to you before you complete your purchase.
The price shown on the product page is the price carried through to your cart, your checkout, and your final charge. We do not adjust prices between those steps.
The total you see at checkout is the final amount charged. We never add fees after purchase, and we never apply a surcharge based on your chosen payment method.
Prices and product availability may change without notice, but a change will never affect an order you have already paid for, except as described below.

We reserve the right to correct pricing or product description errors, including after an order has been placed. If a correction affects your order, we will contact you and give you the choice of proceeding at the corrected price or canceling for a full refund. We will never simply charge you more.

7. Product Availability

All products are offered subject to availability. Occasionally, an item may sell out between the moment you add it to your cart and the moment you check out.

If an item you ordered is unavailable, we will contact you promptly and offer you the choice of a replacement item, a partial refund, or a full refund of the affected item.

We do not use artificial stock scarcity messaging, countdown timers, or false urgency of any kind anywhere on our Website.

8. Orders and Order Acceptance

Placing an order constitutes an offer by you to purchase products under these Terms.

An order confirmation email acknowledges that we have received your order. It does not constitute acceptance.
Your order is accepted only when we send you a shipping confirmation email.
Until acceptance, we may decline the order for any of the reasons set out in Section 9.

9. Our Right to Refuse or Cancel Orders

Leidi & Co. reserves the right to refuse or cancel any order for reasons including, but not limited to:

Suspected fraud or fraudulent activity
Payment authorization issues
Pricing or typographical errors
Inaccurate or incomplete shipping information
Product unavailability
Suspected resale activity
Any circumstance where fulfilling the order would violate applicable law or our Policies

We also reserve the right to cancel, hold or review any order suspected of fraud before it is dispatched. Where we do so, a member of our team reviews the order personally.

If an order is canceled after payment has been received, you will be notified and issued a full refund to your original payment method. You will never be charged for an order we decline.

10. Canceling or Modifying Your Order

You may cancel or modify your order within 12 hours of placing it, or before the order has been processed or shipped, whichever comes first.

Restrictions:

Orders that have already been processed or shipped cannot be canceled.
Customized or personalized items cannot be canceled once production has begun.
Leidi & Co. does not charge cancellation fees.
If your order has already shipped, our Return & Refund Policy applies instead.

To request a cancellation, email us immediately with your order number.

11. Payment

We accept Visa, Mastercard, American Express, Discover, PayPal, Apple Pay, Google Pay, Shop Pay, Klarna, and Afterpay.

Payment is authorized when you place your order and captured when the order is confirmed.
Leidi & Co. does not charge any additional fee based on the payment method you select.
If a payment provider offers an installment plan, such as Klarna or Afterpay, any applicable fees, interest, or late charges are set by that provider under your agreement with them. Leidi & Co. receives no part of those charges.
You confirm that you are authorized to use the payment method you provide.

Full payment terms are set out in our Billing Policy, which forms part of these Terms.

12. Shipping and Delivery

We ship within the United States only. Delivery estimates, shipping charges, restrictions, carrier information, and our remedies for delayed, lost, damaged or undeliverable shipments are set out in full in our Shipping Policy, which forms part of these Terms.

Risk of loss and title for products pass to you upon delivery to the address you provided. Where a shipment is confirmed lost in transit by the carrier, we will provide a replacement or refund as described in the Shipping Policy.

13. Returns, Refunds and Exchanges

Return eligibility, timeframes, conditions, return shipping responsibility, refund processing, and exchange terms are set out in full in our Return & Refund Policy, which forms part of these Terms.

In summary: returns are accepted within 14 days of delivery for eligible items; approval is required first; we charge no restocking fees, and refunds are issued to your original payment method within 5 to 10 business days of approval.

14. Product Guarantee

If your item arrives with a manufacturing defect or workmanship issue, contact us within 30 days of delivery. We will review the issue and, if confirmed, provide an appropriate resolution such as a replacement or a refund.

This guarantee does not cover normal wear and tear, accidental damage, improper use, or damage resulting from failure to follow care instructions. Full details are in our Return & Refund Policy.

Nothing in this guarantee limits any right you have under applicable consumer protection law.

15. Promotions, Discount Codes and Offers

Promotions and discount codes are subject to change without notice and may carry expiration dates.

Unless otherwise stated:

Promotional offers cannot be combined with other discounts
Offers are limited to one use per customer
Offers may exclude sale items, gift cards, or selected collections
Minimum purchase requirements may apply where specified
Offers have no cash value and cannot be exchanged for cash

We reserve the right to withdraw or amend any promotion, and to cancel orders where a discount code has been obtained, shared, or used improperly.

Our commitment to advertising: we do not use countdown timers, false scarcity messaging, invented “was” prices, or artificial urgency of any kind. Any discount we advertise is a genuine reduction measured against our real standard selling price, and any claim we make about a product is one we can substantiate.

16. Gift Cards

Where gift cards are offered, they are issued in United States Dollars, are non-refundable, cannot be exchanged for cash, and cannot be returned. Gift cards are subject to any expiration terms stated at the time of purchase and to applicable state law.

17. Intellectual Property

All content on this Website, including product designs, photographs, illustrations, text, graphics, logos, page layouts, branding, and the Leidi & Co. name, is the intellectual property of Leidi & Co., LLC and is protected by applicable copyright, trademark, and other intellectual property laws.

You may view, download, and print content from our Website for your own personal, non-commercial use. You may not reproduce, copy, distribute, modify, republish, scrape, frame, or use any of our content for commercial purposes without our prior written permission.

If you believe any content on our Website infringes your intellectual property rights, please contact us with details, and we will investigate promptly.

18. Customer Content

If you submit photographs, reviews, comments, or other content to us, or tag us on social media, you grant Leidi & Co. a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and share that content across our Website, marketing materials, and social media channels, with credit where appropriate.

You confirm that:

The content is your own, or you have permission to share it
It does not infringe the rights of any third party
It does not contain unlawful, defamatory, offensive or misleading material

We reserve the right to remove any content at our discretion, and you may ask us at any time to stop using content you have shared.

19. Reviews

Where product reviews are enabled, we publish genuine reviews from real customers. We do not write, buy, incentivize, or fabricate reviews, and we do not delete negative reviews simply for being negative. We may remove a review that is abusive, unlawful, off-topic, or clearly fraudulent.

20. Prohibited Uses

You agree not to use our Website:

For any unlawful purpose, or to solicit others to perform unlawful acts
To infringe our intellectual property rights or those of any third party
To harass, abuse, threaten, defame or discriminate against any person or group
To submit false, misleading or fraudulent information
To upload or transmit viruses, malware, or any malicious code
To collect, scrape, or track the personal information of others
To interfere with, disable, or circumvent the security features of the Website
To use automated systems to access the Website in a way that sends more requests than a human could reasonably produce
To purchase products for unauthorized commercial resale

We are not responsible for the content, policies, or practices of any third-party website, and a link does not imply endorsement. Your dealings with third parties are solely between you and them.

We want our Website to be usable by everyone, and we are working toward that continually. If you encounter a barrier while using our site, please tell us at hello@leidiandco.com. We will do our best to help you complete your purchase and to fix the underlying issue.

23. Electronic Communications

By using our Website or emailing us, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

24. Disclaimer of Warranties

Our Website and its content are provided on an “as is” and “as available” basis. While we make every effort to keep information accurate, complete and current, we do not warrant that the Website will be uninterrupted, timely, secure or free of errors or harmful components.

Except for the product guarantee described in Section 14 and any rights you have under applicable consumer protection law, and to the maximum extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose.

Nothing in these Terms excludes or limits any right you have under applicable law that cannot lawfully be excluded or limited. In some jurisdictions, the exclusion of certain warranties is not permitted, in which case the exclusions above may not apply to you.

25. Limitation of Liability

To the maximum extent permitted by law, Leidi & Co., LLC, its founder, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or connected to your use of our Website or products, including loss of profits, loss of data, or loss of goodwill.

Our total aggregate liability in connection with any order shall not exceed the total amount you paid for that order.

This limitation applies regardless of the legal theory on which the claim is based, and it survives termination of these Terms.

26. Indemnification

You agree to indemnify, defend, and hold harmless Leidi & Co., LLC and its founder, officers, employees, agents, and affiliates from and against any claim, demand, loss, liability, or expense, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Website, or your violation of any law or the rights of a third party.

27. Force Majeure

Leidi & Co. is not liable for any failure or delay in performing its obligations where that failure or delay results from causes beyond our reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, civil unrest, labor disputes, carrier failure, utility or internet outages, government action, or supplier failure.

Where such an event occurs, we will notify you as soon as reasonably possible and, where a delay becomes unreasonable, offer you the option of a full refund.

28. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or from your use of our Website shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of California, United States, and you consent to the personal jurisdiction of those courts.

If you are a consumer resident in another state or country, this clause does not deprive you of the protection of mandatory consumer protection laws in your place of residence.

29. Dispute Resolution

We would genuinely rather solve a problem than argue about one.

Before starting any formal proceedings, please contact us at hello@leidiandco.com with a clear description of the issue and what you would like us to do about it. We commit to reviewing your message, responding within a reasonable period, and making a good faith effort to resolve the matter directly.

Most disputes are resolved in a single email exchange, and we would like yours to be one of them.

30. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be unlawful, void, or unenforceable, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

31. Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver is effective only if made in writing by us.

32. Assignment

You may not assign or transfer these Terms or any of your rights under them without our prior written consent. We may assign our rights and obligations under these Terms to a successor or affiliate without restriction, provided your rights are not diminished.

33. Survival

Any provision that by its nature should survive termination of these Terms shall do so, including Sections 17, 24, 25, 26, 28, and 30.

34. Changes to These Terms

We may update these Terms of Service at any time. The revised version will be posted on this page with an updated “Last Updated” date and will take effect immediately upon posting.

Your continued use of our Website after changes are posted constitutes acceptance of the revised Terms. Orders already placed are governed by the Terms in effect at the time of the order.

35. Entire Agreement

These Terms, together with our Shipping Policy, Return & Refund Policy, Privacy Policy, and Billing Policy, constitute the entire agreement between you and Leidi & Co., LLC and supersede any prior agreements, communications, or understandings, whether written or oral.
